Terms of Service

1. Acceptance of terms

By creating an account or using the JobyDesk service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using JobyDesk on behalf of a business, you represent that you have the authority to bind that business to these Terms. If you do not agree to these Terms, do not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms. We will notify you of material changes by email or through the Service.

2. Description of service

JobyDesk is a cloud-based field service management platform that provides tools for job scheduling, dispatching, invoicing, customer management, inventory tracking and related business operations. The Service includes the web application at app.jobydesk.com, the marketing website at jobydesk.com, and the JobyDesk mobile applications for iOS and Android.

We reserve the right to modify, suspend or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension or discontinuation of the Service.

3. Account registration

You must create an account to use most features of the Service. You agree to provide accurate, complete and current information during registration and to update your information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us immediately at hello@jobydesk.com of any unauthorized use of your account. We are not liable for any losses resulting from unauthorized use of your account before you notify us.

4. Subscription and billing

JobyDesk offers free and paid subscription plans. Paid plans are billed monthly or annually in advance. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial subscription periods except where required by law.

We may change subscription prices with 30 days advance notice. If you do not accept a price change, you may cancel before the new price takes effect.

5. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

- Use the Service to violate any applicable law or regulation - Use the Service to store, transmit or process illegal content - Attempt to gain unauthorized access to any part of the Service or its related systems - Interfere with or disrupt the integrity or performance of the Service - Reverse engineer, decompile or disassemble any portion of the Service - Use the Service to send unsolicited commercial communications (spam) - Impersonate any person or entity or misrepresent your affiliation with any person or entity - Use the Service in any manner that could harm, disable or overburden our infrastructure

6. Your data

You retain all rights to the data you input into the Service, including customer records, job information, invoices and other business data ("Your Data"). By using the Service, you grant us a limited license to store, process and use Your Data solely to provide the Service to you.

You are responsible for the accuracy and legality of Your Data. You represent that you have all necessary rights to provide Your Data to us and that doing so does not violate any third-party rights.

Upon account termination, you may export Your Data for 30 days. After that period, we may delete Your Data from our systems.

7. Payment processing

Payment processing within JobyDesk is provided by Stripe, Inc. By using payment features, you agree to Stripe's Terms of Service and Privacy Policy. We are not responsible for errors, disputes or issues related to payment processing. Transaction fees charged by Stripe are separate from JobyDesk subscription fees and are your responsibility.

You are responsible for ensuring that your use of payment features complies with all applicable laws and card network rules.

8. Intellectual property

JobyDesk and its licensors own all rights, title and interest in the Service, including all software, designs, logos, trademarks and content created by us. Nothing in these Terms grants you any right to use our intellectual property except as expressly stated.

We do not claim ownership of Your Data or any content you create using the Service. You grant us a limited, non-exclusive license to use Your Data solely to operate and improve the Service.

9. Confidentiality

Each party may have access to confidential information of the other party. You agree to keep confidential any non-public information about JobyDesk's products, technology, business or operations. We agree to keep Your Data confidential and not share it with third parties except as described in our Privacy Policy or as required by law.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free or secure. We do not warrant that any defects will be corrected or that the Service is free of viruses or other harmful components.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOBYDESK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend and hold harmless JobyDesk and its officers, directors, employees and agents from any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your violation of any third-party rights, or your breach of any representation or warranty.

13. Termination

You may terminate your account at any time from your account settings or by contacting us at hello@jobydesk.com.

We may suspend or terminate your account if you violate these Terms, if your payment fails and is not resolved within 10 days, or if we are required to do so by law. We will try to give advance notice of termination where reasonably possible.

Upon termination, your right to use the Service ends immediately. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification and dispute resolution survive termination.

14. Governing law

These Terms are governed by the laws of the State of Idaho, United States, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Ada County, Idaho, and you consent to the personal jurisdiction of those courts.
